Terms of Use
This document sets out the legally binding Terms of Use that govern your access to and use of the Walnut.coach platform, as well as our Privacy Policy which explains how we collect, use, and protect your personal data. By registering for or using the Platform, you confirm that you have read, understood, and agree to be bound by both parts of this document. If you do not agree, you must not use the Platform.

T1. Introduction
T1.1 Walnut Coach LLP (“Walnut”, “Company”, “we”, “us”, or “our”) operates Walnut.coach — India's first gamified coaching platform (the “Platform”) — which combines ICF-certified coaching with gamified personality assessments, a personalised skill tree framework, and real-time HR analytics, accessible via our website and mobile application.
T1.2 These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Walnut governing your access to and use of the Platform and all coaching services facilitated through it.
T1.3 These Terms apply to all categories of Users, including: individual coaching clients; corporate/enterprise HR administrators who purchase or manage coaching programs for employees; and employees enrolled in a corporate coaching program through the Platform.
T1.4 By registering an account, purchasing credits, booking a session, or otherwise accessing the Platform, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding contract, and agree to comply with these Terms. If you are accessing the Platform on behalf of a corporate entity, you represent that you are authorised to bind that entity to these Terms.
T2. The Platform — What Walnut Provides
T2.1 Platform Services. Walnut provides a technology platform that enables Users to:
- Complete a gamified personality assessment (OCEAN + DISC + Enneagram) upon registration, which generates a personalised Skill Tree and surfaces algorithmically ranked coach recommendations;
- Browse coach profiles displaying each coach's ICF credential tier (ACC, PCC, or MCC), coaching specialisms, assessed coaching style, and skill tags;
- Select a coach from the Platform's recommendations or from the broader coach pool;
- Configure and purchase a personalised coaching engagement — specifying the number of sessions, programme duration (3, 6, or 12 months), and session cadence (weekly or biweekly);
- Schedule and attend coaching sessions via Zoom, directly through the Platform;
- Receive and complete in-app assignments and reflections between sessions;
- Track skill progress through the Platform's visual Skill Tree interface;
- Communicate with their coach via the Platform's in-app messaging feature.
T2.2 Facilitation Role. Walnut acts as a technology intermediary and platform facilitator. Coaching services are delivered by independent coaches engaged by Walnut, each holding a valid ICF credential. Walnut is not itself a coaching practice, and the coaching relationship exists between the User and the assigned coach. Walnut facilitates the matching, scheduling, payments, and platform experience.
T2.3 Corporate Programs. For corporate clients, Walnut additionally provides: group coaching cohort facilitation (Tier 1 Executive Cohorts and Tier 2 Leadership Cohorts); an HR analytics dashboard providing the HR team with aggregated cohort progress data, session completion metrics, sentiment trends, and engagement analytics; and custom plan configuration through the Platform's plan builder.
T2.4 Confidentiality of Individual Sessions. All individual 1:1 coaching sessions — including 1:1 add-on sessions within corporate programs — are strictly confidential. Content from individual sessions is never shared with the User's employer, HR team, Walnut, or any third party. Aggregated, anonymised engagement data (not session content) may be included in the HR analytics dashboard for corporate programs.
T3. Account Registration
T3.1 To access the Platform's coaching features, you must create a user account by providing accurate, complete, and current information including your name, email address, and contact number.
T3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at info@happinesscoach.com if you become aware of any unauthorised access to or use of your account.
T3.3 You may not create more than one personal account, impersonate any person or entity, or provide false information during registration.
T3.4 We reserve the right to suspend or terminate any account where we reasonably believe that the information provided is inaccurate or that the account is being used in violation of these Terms.
T4. Gamified Assessment and Skill Tree
T4.1 Upon registration, Users complete a gamified personality assessment covering the OCEAN (Big Five) personality model, DISC behavioural profile, and Enneagram framework. Completion of this assessment is necessary to generate your personalised Skill Tree and to receive coach recommendations. The assessment is designed to be engaging and takes approximately 10–15 minutes.
T4.2 Assessment results are used by the Platform's matching algorithm to rank coach recommendations most likely to be compatible with your personality and coaching goals. Results also personalise your Skill Tree — a structured set of skills that forms the curriculum for your coaching journey.
T4.3 Assessment results are not definitive diagnostic or clinical evaluations. They are coaching tools designed to support self-awareness and goal-setting. They do not constitute psychological, medical, or therapeutic advice.
T4.4 Your coach may review your assessment profile to inform their coaching approach. You may request a review or retake of the assessment by contacting Walnut, subject to Platform availability.
T5. Coach Discovery and Selection
T5.1 Following assessment, the Platform's algorithm surfaces a ranked list of recommended coaches based on your assessment results and Skill Tree preferences. The top recommendations are displayed on your dashboard. You may also browse the full pool of available coaches beyond the top recommendations.
T5.2 Each coach's public profile displays their ICF credential level and membership status, their assessed coaching style, specialisms and skill tags, and their availability calendar. The final selection of a coach is entirely your own decision — Walnut recommends but does not assign.
T5.3 Walnut does not guarantee the availability of any specific coach. Coach profiles are subject to change based on availability, credential status, and platform activity.
T5.4 Coach Change Policy. You may request one (1) coach change per account lifetime. A coach change may be initiated via the “Replace Coach” option on your dashboard. The following credit refund rules apply upon a coach change:
- 1 session completed: Full credit refund — all purchased credits are returned to your account balance.
- 2 or more sessions completed: Credits equivalent to the sessions already delivered are deducted; the remaining balance is returned to your account.
After a coach change, you will re-enter the coach discovery flow from the beginning. The coach change allowance is strictly one (1) per lifetime and cannot be reset.
T6. Credits, Payments, and Refunds
T6.1 Credit System. All coaching sessions on the Platform are transacted using in-app credits (“Credits”). Credits are purchased in bundles prior to beginning a coaching engagement. Larger credit bundles attract progressively greater discounts.
T6.2 Programme Durations. Coaching engagements are available in three durations: 3 months, 6 months, and 12 months. Longer durations attract progressively greater credit discounts. Credits are applied to your account balance immediately upon confirmed payment.
T6.3 Session Cadence. At the time of booking, you select your preferred session cadence — weekly (one session per week) or biweekly (one session every two weeks). Your chosen cadence, along with the number of sessions and programme duration, forms your confirmed engagement configuration.
T6.4 Payment Processing. Payments for credit bundles are processed through Walnut's payment infrastructure using secure third-party payment gateways. Walnut does not store your full payment card details. By making a payment, you authorise Walnut to charge the applicable amount in Indian Rupees (INR).
T6.5 Credit Expiry. Credits purchased for a specific engagement configuration are valid for the duration of the programme selected. Credits that remain unused at the end of the programme period may be forfeited unless otherwise agreed in writing with Walnut.
T6.6 Refund Policy. Except in the circumstances described in Clause T5.4 (coach change) and Clause T6.7, Credits are non-refundable once purchased. Walnut does not provide refunds for sessions that were delivered as scheduled, regardless of the User's satisfaction with the coaching outcome.
T6.7 Exceptional Circumstances. Walnut may, at its sole discretion, issue credit refunds or account credits in the following exceptional circumstances: (a) verified technical failure by the Platform preventing a session from taking place; (b) coach cancellation with less than 24 hours' notice and no rescheduling offered; or (c) verified inability of the coach to deliver services due to credential suspension or termination by Walnut.
T6.8 Corporate Clients. Enterprise HR clients may fund accounts offline via direct contract. Credits are pre-loaded following contract execution. Invoicing and payment terms for corporate clients are governed by the applicable enterprise agreement.
T7. Sessions — Scheduling, Delivery, and Conduct
T7.1 Scheduling. Once connected to your coach, you may view their live calendar and book sessions directly through the Platform. Session availability is displayed in real time based on the coach's connected calendar. For corporate programs, sessions may only be booked within the scheduling windows set by the HR administrator.
T7.2 Session Delivery. All sessions are conducted via the Zoom integration embedded in the Platform. A “Join Session” button appears on your dashboard on the day of the scheduled session. You are responsible for ensuring your device, internet connection, and Zoom setup are functional before each session.
T7.3 Session Duration. Individual 1:1 coaching sessions are 45 to 60 minutes in duration. Corporate cohort workshop sessions are 90 minutes (Tier 2) or 2 hours (Tier 1 Executive). Sessions should not be shortened materially without mutual agreement.
T7.4 Cancellation and Rescheduling. If you need to cancel or reschedule a session, you must do so with a minimum of 24 hours' notice through the Platform. Late cancellations (less than 24 hours' notice) or no-shows without prior notice may result in the session being counted as delivered and the corresponding Credits being deducted from your balance.
T7.5 User Conduct During Sessions. You agree to engage in all coaching sessions with honesty, respect, and good faith. You shall not record any coaching session (video, audio, or otherwise) without the prior written consent of your coach and Walnut. Abusive, threatening, or inappropriate behaviour toward a coach may result in immediate suspension of your account.
T7.6 In-App Assignments. Your coach may assign tasks, reflections, or self-assessments between sessions through the Platform. While completion of these assignments is not mandatory, consistent engagement with between-session work significantly improves coaching outcomes.
T8. In-App Messaging
T8.1 The Platform provides an in-app messaging feature accessible from your dashboard, which you may use to communicate with your coach between sessions.
T8.2 The in-app chat is asynchronous by design — your coach is not expected or required to respond in real time. Response times will vary based on each coach's availability outside of scheduled sessions.
T8.3 You are informed, and you acknowledge, that all in-app chat communications are saved and stored on the Platform. A caution banner is displayed within the chat window to remind you of this.
T8.4 The in-app chat is for coaching-related communication only. It must not be used to share content that is illegal, abusive, threatening, or in violation of any applicable law.
T8.5 Walnut does not routinely monitor in-app chat content but reserves the right to review communications where a report of abuse, harassment, or safety concern is made.
T9. Skill Tree and Progress Tracking
T9.1 Your Skill Tree is generated from your Day 1 assessment and represents the personalised set of skills available to you for development on the Platform. Skills in your Skill Tree are locked by default.
T9.2 Your coach evaluates your progress and manually unlocks the next skill on your Skill Tree when they determine — in their professional judgment — that you have genuinely mastered the current skill. Skill progression is a coaching decision, not an automated time-based event.
T9.3 Walnut provides visual progress tracking within the Platform. Session history, skill completion, and engagement metrics are visible to you on your dashboard. For corporate programs, aggregated (non-session-content) progress data is made available to your HR team via the HR analytics dashboard.
T10. HR Analytics Dashboard — Corporate Programs
T10.1 For corporate and enterprise programs, Walnut provides the client's HR team and board with an automated analytics dashboard displaying: cohort-level session completion rates; aggregated team sentiment trends; skill progression metrics; and participation and engagement scores.
T10.2 The HR dashboard contains aggregated and anonymised engagement data only. Individual session content, personal coaching disclosures, and 1:1 coaching session notes are never included in the HR dashboard or shared with the employer in any form.
T10.3 For 12-month MCC Executive Cohort programs, the coach co-presents quarterly reassessment reports to the HR team. These reports reflect team-level coaching progress and development themes — they do not contain individual session content.
T11. Prohibited Conduct
T11.1 In using the Platform, you agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable Indian or international law;
- Provide false, inaccurate, or misleading information at any stage of registration or use;
- Attempt to circumvent, bypass, or tamper with the Platform's matching algorithm or booking system;
- Solicit, engage, or attempt to arrange private coaching services directly with a Walnut coach outside the Platform, in circumvention of the Platform's booking and payment systems;
- Record, reproduce, or distribute any coaching session content without the prior written consent of the coach and Walnut;
- Upload, transmit, or share any content that is defamatory, obscene, threatening, harassing, or otherwise unlawful through the Platform;
- Attempt to gain unauthorised access to any part of the Platform or another user's account;
- Use the Platform to engage in any activity that could damage, disable, or impair the Platform's functionality;
- Reverse engineer, decompile, or attempt to extract the source code of any part of the Platform.
T12. Intellectual Property
T12.1 All intellectual property rights in and to the Platform — including the Walnut brand and logo, gamified assessments, Skill Tree framework, game and simulation materials, HR dashboard, application design, software, and all content created by Walnut — are and shall remain the exclusive property of Walnut Coach LLP.
T12.2 Subject to your compliance with these Terms, Walnut grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purposes of receiving coaching services in accordance with these Terms. This licence does not include any right to copy, modify, distribute, or create derivative works from any Platform content.
T12.3 Content you submit to the Platform (such as self-assessment responses and in-app messages) remains yours. By submitting it, you grant Walnut a limited licence to store and process it for the purposes of delivering coaching services to you and improving the Platform, as described in the Privacy Policy.
T13. Disclaimers
T13.1 Walnut provides the Platform on an “as is” and “as available” basis. While we make reasonable efforts to ensure the Platform is available and functional, we do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
T13.2 Coaching is a personal development service. Walnut and its coaches do not guarantee specific outcomes, results, or improvements as a result of coaching. Coaching is not a substitute for professional medical, psychological, legal, or financial advice.
T13.3 Assessment results (OCEAN, DISC, Enneagram) are coaching tools, not clinical diagnoses. They should not be relied upon as the sole basis for employment, medical, or personal decisions.
T13.4 Walnut does not endorse, verify, or take responsibility for the professional opinions, views, or advice shared by individual coaches during sessions, beyond ensuring they hold a valid ICF credential.
T14. Limitation of Liability
T14.1 To the maximum extent permitted by applicable law, Walnut shall not be liable for any indirect, incidental, consequential, punitive, or special losses or damages arising out of or in connection with your use of the Platform or coaching services, including but not limited to loss of profits, business, data, or reputation.
T14.2 Walnut's total aggregate liability to you for any direct losses arising out of or in connection with these Terms or your use of the Platform shall not exceed the total amount of Credits purchased by you in the three (3) calendar months immediately preceding the event giving rise to the claim.
T14.3 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Indian law.
T15. Indemnification
T15.1 You agree to indemnify, defend, and hold harmless Walnut, its partners, directors, employees, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law; or (c) your infringement of any third-party right, including intellectual property or privacy rights.
T16. Account Suspension and Termination
T16.1 You may close your account at any time by contacting Walnut at info@happinesscoach.com. Account closure does not entitle you to a refund of unused Credits, except where Walnut has failed to provide the agreed services.
T16.2 Walnut may suspend or terminate your account without notice if: (a) you materially breach these Terms; (b) we have reason to believe your account is being used fraudulently or unlawfully; (c) you engage in prohibited conduct as described in Clause T11; or (d) your continued use poses a risk to the safety or wellbeing of a coach or other user.
T16.3 Upon termination, your access to the Platform and all associated sessions, assignments, and data will cease. Active corporate program participants whose accounts are terminated by Walnut due to user breach may not be entitled to a credit refund.
T17. Changes to These Terms
T17.1 Walnut may update these Terms from time to time. Where changes are material, we will notify you by email and/or by prominently displaying a notice on the Platform not less than 14 days before the updated Terms take effect.
T17.2 Your continued use of the Platform after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Platform before the effective date of the changes.
T18. Governing Law and Dispute Resolution
T18.1 These Terms shall be governed by and construed in accordance with the laws of India.
T18.2 In the event of any dispute arising out of or in connection with these Terms or your use of the Platform, the Parties shall first seek resolution through good-faith negotiation by written notice to Walnut at info@happinesscoach.com.
T18.3 If the dispute is not resolved within thirty (30) days of written notice, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi and proceedings conducted in English.
T18.4 Subject to Clause T18.3, the courts of New Delhi shall have exclusive jurisdiction over any disputes arising from these Terms.
User Acknowledgement
By registering for or using the Walnut.coach Platform, you acknowledge that:
- You have read and understood these Terms of Use and Privacy Policy in their entirety.
- You agree to be legally bound by the Terms of Use (Part 1).
- You consent to the collection and processing of your personal data, including Sensitive Personal Data (personality assessment results), as described in the Privacy Policy (Part 2).
- You are at least 18 years of age and have the legal capacity to enter into these agreements.
